Terms and Conditions
1. Definitions
In this Agreement:
- "Platform" refers to the LiveOps engagement platform offered by Luckistry.
- "User" or "Customer" refers to any entity utilizing the Platform for engagement features.
- "Plan" refers to the selected pricing model, including Free and Pay-as-you-go plans.
2. Acceptance of Terms
By accessing or using the Platform, the Customer agrees to comply with and be bound by these Terms and Conditions. If the Customer does not agree, they must cease using the Platform immediately.
3. License and Use of Software
Luckistry grants the Customer a non-exclusive, non-transferable license to use the Platform solely for the purpose of enhancing engagement on their websites or mobile applications. The Customer agrees not to reverse-engineer, copy, modify, or distribute the Platform in any manner not explicitly permitted.
4. Payment and Billing
- The Customer agrees to pay all fees as per the selected Plan.
- If the Customer reaches the limit of the selected Plan (e.g., 500 active users in the Free Plan), the service will be suspended. Service can be reactivated by upgrading the Plan.
- Service will also be suspended if the invoice is not paid on time. Once the invoice is paid, the service will be reactivated.
- Luckistry reserves the right to change prices at any time, with at least two months' notice before the change takes effect.
5. Platform Functionality and Updates
Luckistry continuously improves the Platform and may introduce updates, new features, or modify existing functionality. While every effort is made to maintain platform stability, Luckistry does not guarantee uninterrupted availability.
6. Customer Responsibilities
- It is the responsibility of the Customer to ensure compliance with laws, rules, conditions, and regulations of the country where they operate.
- The Customer is responsible for configuring API access, ensuring the security of client credentials, and managing campaign settings appropriately.
7. Confidentiality
Both parties agree to maintain the confidentiality of any non-public information disclosed during the course of the business relationship. This includes, but is not limited to, trade secrets, business strategies, and customer data.
8. Data Processing and Ownership
- Luckistry collects and processes player IDs to select campaigns for players.
- Player data is used solely for campaign targeting and is not shared with third parties.
- Data is encrypted in transit, and token-based authentication is used for secure communication.
- The Customer retains ownership of all player data.
9. Termination
- The Customer may terminate the agreement at any time by discontinuing the use of the Platform.
- Luckistry reserves the right to terminate the agreement if the Customer breaches any of the Terms and Conditions, including non-payment of invoices or unauthorized use of the Platform.
10. Governing Law and Dispute Resolution
This Agreement shall be governed by and interpreted in accordance with the laws of the jurisdiction in which Luckistry operates. Any disputes arising out of or in connection with this Agreement shall be resolved through good faith negotiations. If no resolution is achieved, disputes shall be settled in the competent courts of the relevant jurisdiction.
11. Limitation of Liability
Luckistry shall not be liable for any indirect, incidental, or consequential damages arising out of the use or inability to use the Platform, including but not limited to loss of revenue, profit, or data.
12. Changes to Terms and Conditions
Luckistry reserves the right to change these Terms and Conditions at any time. The Customer will be notified at least two months before any significant changes take effect. Continued use of the Platform constitutes acceptance of the revised Terms and Conditions.
